General Terms and Conditions, terms beginning with a capital letter have the following meaning:
Customer: Any individual or company entering into a transaction of sale, purchase, or storage of a Product(s) with AB Metals FZCO.
Customer Service Manager: The employee of AB Metals FZCO providing service to all customers of AB Metals FZCO .
AB Metals FZCO: AB Metals FZCO is registered with Dubai Silicon Oasis Authority, Dubai, United Arab Emirates, license no. 26409 (further “AB Metals FZCO”).
Security System: We are a fully regulated company in the UAE; our metal storage vault is secured by SIRA (Security Industry Regulatory Authority). This level of security ensures our premises are monitored 24hrs. with direct feeds to the UAE police, and all records are maintained. Not only is metal sourced ethically, but we also ensure the highest level of security .
Order(s): All orders, including sales orders purchase orders and Metal Storage request.
Order Confirmation: Order confirmation will be sent by e-mail to the customer directly.
Order Date: The date on which the customer places the order.
Product(s): Each and every product offered on AB Metals FZCO, including but not limited to precious metals such as gold, silver, minted coins, minted bars, etc.
Storage: The storage of the precious metals products acquired with AB Metals FZCO for direct storage in the AB Metals Secured Vaults.
Website: The website www.abmetals.co
Working days: 7 days working from 09:00 to 18:00 UAE local time (GST+4).
2. Scope and contractual partners
2.1. When a customer uses AB Metals FZCO's website for placing orders, making sales, or storing products in AB's vaults, they accept and consent to abide by the General Terms and Conditions ("General T&Cs"). The General T&Cs have higher priority than any other agreements or documents unless there is a specific agreement between AB Metals and the customer. The General T&Cs are applicable to all orders, sales, purchases, and storage of products in AB Metals FZCO's vaults, regardless of how they were arranged, whether through the website, by phone, or any other means.
2.2. To place an order through the AB Metals FZCO website, the customer must meet certain requirements. Specifically, the customer must be at least 18 years old, mentally competent, and not under any form of legal guardianship. These requirements are confirmed when the customer signs up for a membership account, places purchase or sales orders, or stores products with AB Metals. Additionally, each customer is limited to one account on the website, using their name only and the name must match with the ID proof.
3. Risk and Investment advice
3.1. The price of the product(s) sold by AB Metals FZCO depends on the financial and gold markets’ rate fluctuations.
3.2. It is important to recognise that all investments carry a degree of risk. If the customer is contemplating buying precious metals for investment or speculative purposes, they should evaluate the current market conditions and seek advice from a qualified financial advisor. AB Metals FZCO does not take any responsibility for any actions taken by the customer or the outcome of any transactions between the customer and AB Metals. As part of this, the customer agrees to protect, defend, and exempt AB Metals FZCO from any claims related to the customer's dealings with AB Metals FZCO.
3.3 AB Metals FZCO does not offer investment advice regarding the decision to invest, divest, or maintain investments in specific precious metals.
3.4 Additionally, the customer acknowledges and agrees that any transactions conducted with AB Metals FZCO and any orders placed on the website are done at the customer's own risk.
4 Information mentioned on the Website and Shipping fees and Policy
4.1. AB Metals FZCO endeavours to provide customers with comprehensive and meticulous information. However, it is important to note that any photos, videos, and text used to depict and describe products, as well as prices displayed on the website, are not legally binding and are intended solely for informational purposes.
4.2. The prices shown on the website are denominated in US dollars ($), INR (?), Euro (€), and AED (UAE Dirham).
4.3. AB Metals FZCO specifies on its website the countries to which it can ship products. However, AB Metals FZCO retains the right to alter this list of countries without prior notice. If the customer requires shipment to a country that is not listed on the website, they must contact AB Metals FZCO's customer service directly by emailing email@example.com or calling +971 50 259 7330 to inquire about the availability and cost of such an option.
4.4. Shipping fees are calculated on a per-order basis and must be paid for each order separately, as it is not technically feasible to combine multiple orders into a single shipment. AB Metals FZCO provides insurance coverage for all orders shipped to the customer, with the amount of coverage based on either the purchase price of the enclosed product(s) bought from AB Metals FZCO or the metal value of the product(s) stored with AB Metals FZCO at the time of the delivery request.
4.5. The customer acknowledges that the Products and services provided by AB Metals FZCO, along with any associated information, pricing, and data, may be subject to errors, oversights, mistakes, limitations, delays, service interruptions, or other similar issues, whether they arise from human error, mechanical issues, typographical errors, or other causes.
i)These issues may be caused, in whole or in part, by AB Metals FZCO or its service providers' computer hardware and software, telecommunications and operating systems, databases, business processes, and procedures,
ii) Other inherent problems associated with the use of the internet and electronic communications, including force majeure events and government regulations, as well as acts and omissions of third parties that affect or impact AB Metals FZCO's products, services, information, data, or electronic communications.
As a result, the customer agrees not to hold AB Metals FZCO responsible or liable for any delays, failures, or losses resulting from any of the aforementioned issues, whether in whole or in part.
4.6. AB Metals FZCO retains all intellectual rights, including copyrights, trademarks, and any other rights associated with its own website, web pages, documents, advertising, and any other support. The customer is granted a non-exclusive right to access and use AB Metals FZCO's intellectual rights as specified in this or any other agreement with AB Metals FZCO. However, the customer is not allowed to copy, modify, decompile, reverse engineer, alter, or create derivative works of AB Metals FZCO's intellectual rights without the express agreement of AB Metals FZCO.
5. Buying from AB Metals FZCO
5.1. The display of AB Metals FZCO's products on the website is not an offer that binds the company, but rather an invitation for the customer to engage in sales & purchase with AB Metals FZCO.
5.2. Once the customer clicks on the "Place your order" button, it constitutes a binding offer to AB Metals FZCO that the customer confirms the purchase of product(s) at the price displayed on the website. An automatic Order Confirmation email will be sent to the customer by AB Metals FZCO.
5.3. The customer is able to view and make modifications to their order directly in their cart prior to clicking on the “Place your order” button.
5.4. The acceptance of the Order by AB Metals FZCO is confirmed through the Order Confirmation, which results in a binding contract between AB Metals FZCO and the Customer.
5.5. Important notice: After the Order Confirmation is sent, the customer is not able to cancel or amend the order.
5.6. AB Metals FZCO expressly conditions the execution of the sale and shipment or storage of the product on receipt of the full payment of the order.
5.7. AB Metals FZCO retains the right to refuse, cancel, or terminate an order/contract at its sole discretion, primarily due to non-payment by the customer, before delivery, without any liability towards the customer.
5.8. Cancellation of Order(s) by AB Metals FZCO is subject to AB Metals FZCO's market loss policy (see article 12 below).
5.9. Important notice: Upon purchase confirmation of the product by the customer, the payment received for his/her order (s)/product (s) is subject to AB Metals FZCO market loss policy (see article 12 below).
5.10 Important notice: The availability of all products listed is subject to change. While we aim to deliver the products as specified on the agreed date, there are situations that are beyond our control that may arise where the specified products are unavailable. In such cases, we reserve the right to substitute the product with another of the same weight or multiple smaller products. The replacement product may be of a different brand, but the weight and purity of the metal will remain the same. If such a situation occurs, AB Metals customer care will contact the customer to seek their approval before dispatching the order.
6. Payment and retention of title
6.1. AB Metals FZCO accepts payments for all orders in Dirhams or AED. However, we also allow the customer to process the payment in any other currency. In such cases, the rate of exchange may be determined by the bank.
6.2. The Customer can pay either with AB Metals FZCO Pay option, bank transfer (starting with two thousand UAE Dirhams (AED 2000 minimum), or credit card, pay by cash or with a credit card at the office.
Note: AB Metals FZCO reserves the rights to ask customer to furnish more details ex: photo id and credit card masked copy with last four digits only which is used during the purchase.
6.3. Once an Order has been placed, AB Metals FZCO will send an invoice to the customer indicating the total amount due for the Order. AB Metals FZCO retains full and extensive title of the product(s) until the invoice is fully paid. Products will only be delivered, resold, or gifted after AB Metals FZCO has received full payment.
6.4. The customer is required to initiate bank transfer payments within 24 hours of the Order Date and customer is responsible for all banking and commission fees incurred during bank transfer. The payment must originate from the customer's bank account that was used to place the order(s).
6.5 In the case of a bank transfer payment, the invoice amount must reach AB Metals FZCO's account no later than three working days after the Order Confirmation has been issued. The customer assumes the risk of any fluctuations in metal rates between the transfer date and the AB MetalsPay processing date. If the amount received by AB Metals is insufficient to fulfill the customer's order, AB Metals will decline the order. All expenses and costs associated with a refund by AB Metals FZCO of any payment shall be borne by the customer.
7. Transfer of Risk, Shipping, and taxes
7.1. AB Metals FZCO insures all the products to be shipped during delivery. Once the delivery is complete, the risk is transferred to the customer.
7.2. AB Metals FZCO may choose to ship all Products (s) through an internationally recognised carrier, at its own discretion.
7.3. The delivery of Product(s) is sent by a registered and insured delivery partner and it usually takes an average of 5-10 business days, but this period is only indicative and not contractual
7.4. If the customer chooses the "Shipping" option, the product(s) will be delivered to the address that the customer has confirmed through the website at the time of placing the order or the address provided by the customer via email with his/her authorised email
7.5. The delivery process will be considered complete upon handing over the product(s) to a person who is either authorised or claims to be authorised at the specified delivery address or pickup location. The person receiving the product(s) may be asked to provide proof of their identity. It is not permissible to deliver the product(s) to a mailbox, deposit box, or any other location, and such deliveries will not be insured.
7.6. If AB Metals FZCO is unable to deliver the product(s) due to reasons beyond its control, AB Metals FZCO may choose to cancel the contract. Any payments made by the customer will be refunded subject to AB Metals FZCO's market loss policy. The customer cannot demand any damages or additional expenses from AB Metals FZCO in this situation, and AB Metals FZCO retains its rights, including offsetting for other costs.
7.7. The customer shall bear all costs related to transportation/shipping, taxes, and inherent risks associated with the shipment of the product(s) if it is due to reasons attributable to the customer. This includes but is not limited to unclaimed products, inaccurate or incomplete delivery addresses, or an unauthorised person receiving the product at the address indicated by the customer. In addition, if the product(s) need to be resent, the customer shall be solely responsible for all associated costs.
7.8. AB Metals FZCO will only reship an order after receiving full payment, which includes return shipping costs, applicable duties and taxes, and any additional fees required to send the product back to the customer.
7.9. To ensure adequate insurance coverage, products with a total value exceeding a certain amount may be delivered in multiple packages. AB Metals FZCO will arrange for a dedicated shipping service for such products.
7.10. The Customer may be subject to taxes and/or duties for his/her delivery Order(s) of Product(s) from AB Metals FZCO, and any and all such taxes will be solely at the customer’s own expense.
7.11. The customers are allowed to consult his/her local customs for complete information on duty and tax rates. AB Metals FZCO declares the complete value of the shipment on all custom forms. No exceptions.
7.12. All additional duties and taxes are to be paid by the customer upon receving the product upon delivery. AB Metals FZCO will not be held responsible for the additional payment of any duties and/or taxes. That is the responsibility of the customers. Deliveries will not be completed unless all taxes are paid in full by the customer. The customer undertakes that no claims will be raised in this regard.
7.13. Important notice: The Customer must refuse any shipment which appears to be damaged or tampered with, as the shipping insurance ends once the delivery is deemed complete. When refused, the package(s) will return to AB Metals FZCO for inspection. Customers must immediately submit a complaint by e-mail (firstname.lastname@example.org) to the AB Metals FZCO Customer Service to preserve any associated rights against the shipper/carrier.
7.14. The customer is required to cooperate with AB Metals FZCO LLC in the event of any disruption in the delivery of the product(s) and to comply with any investigation or claim process by taking all reasonable actions requested by AB Metals FZCO. Failure to comply fully may affect the insurance coverage that may be provided to the customer.
8. Storing Products in AB Metals FZCO vaults
8.1. The physical storage of the customer's products is guaranteed by AB Metals FZCO to be in its dedicated and segregated vaults, and the customer retains full ownership of their stored products.
8.2. AB Metals FZCO LLC is a privately held UAE company, and all its assets are held outside the banking system. Products stored at secure locations in the UAE operated by AB Metals FZCO's service provider are insured based on current market values and protected against physical loss, theft, and damage.
8.3. By accessing their online account with AB Metals FZCO, the customer can request for delivery of their stored products or sell or some of the stored products to AB Metals FZCO, at any time. The customer can also monitor the status of their stored products by accessing their online account any time
8.4. If the customer chooses to ship their stored products, they will be responsible for the applicable shipping costs, duties, and taxes. These costs will be borne exclusively by the customer.
8.5. The products purchased and stored with AB Metals FZCO are subject to VAT in accordance with UAE regulations.
8.6 AB Metals FZCO will not deliver the stored products to the customer until the shipping costs have been received.
8.7. Important notice: If a customer's account remains inactive, meaning there have been no login attempts made for a period exceeding three (3) years, and AB Metals FZCO has made significant but unsuccessful attempts to reach the customer or the designated Person of Contact, the account will be considered inactive. In such cases, AB Metals FZCO reserves the right to sell any Stored Product(s) associated with the account, charging administrative fees of AED 500.00 at the customer's own risk. Within 360 days from the sale, the Customer or Person of Contact may request the reimbursement of the net result of the sale. It is important to note that AB Metals FZCO retains its rights, including any offset rights.
9 Storage Fees
9.1. AB Metals provides its customers with information on storage fees and packages in the "Storage Fees" section of their account on the website. AB Metals reserves the right to modify the packages, their details, and pricing at any time without prior consent or notice to the customers, following the procedure outlined in section 9.6 below. Any updates to the storage packages will be reflected in the general sections of the website as well as under the "Storage Fees" section of the customer's account with AB.
9.2. To determine the applicable storage fee packages, the customer's portfolio value is calculated at the beginning of each month for the previous month. The calculation is based on the market value (defined below) of all the products held in storage by the customer at the time of the calculation.
9.3. Each day, AB Metals FZCO calculates the market value of each product based on the market price at the time when the Metal rate is updated on the website.
9.4. The Customer acknowledges and agrees to be responsible for paying the storage fees and provides authorization to AB Metals FZCO to automatically charge these fees on a monthly basis to a credit card, AB Metals FZCO Pay account, or an authorised debit/ credit card. The customer shall ensure that the full amount of fees is paid. In case the Products are sold to AB Metals FZCO or shipped as per the customer’s request, the storage fees will be prorated until the Products are sold or shipped.
9.5. Payment of storage fees and charges must be made within thirty (30) days of the date indicated on the Customer Invoice. The customer shall bear all transaction fees. In the event that the authorised credit card, AB Metals FZCO Pay account, or debit card cannot be charged, or if a charge is declined for any reason, including chargeback, AB Metals FZCO reserves the right, at its sole discretion, to exercise any of the following remedies:
9.5.1. Impose a late fee, which will be the greater of AED two hundred (AED 200.00) per month or one and one-half per cent (1.5%) per month of any outstanding amount until the payment is received;
The customer shall also be liable for and pay all the costs and fees incurred by AB Metals FZCO in collecting the overdue amount.
9.5.2. AB Metals FZCO may decline to accept or comply with any future requests or instructions from the Customer for additional deposits or withdrawals from the account.
9.5.3. No future operations by the customer will be allowed unless and until all fees and charges are paid in full;
9.5.4. In order to offset any outstanding fees and charges, AB Metals FZCO reserves the right to sell a portion of the stored Products and to apply the proceeds towards the payment of the amounts due. AB Metals FZCO may also exercise its right of setoff and apply any amounts owed to the customer towards the payment of any amounts owed by the customer.
9.6. Important notice: AB Metals FZCO reserves the right to change its Storage fees at its sole discretion after providing a written notice of not less than thirty (30) days, which can be sent via regular mail or email, without being required to provide reasons for such change. Within thirty (30) days of receiving the notice, the customer may reject the new Storage Fees in writing. During the same period, the customer must provide AB Metals FZCO with written instructions to deliver their products to a specific address.
9.7. AB Metals FZCO will obtain insurance coverage, either directly or through its affiliates, from a reputable insurance company to the extent that it is commercially reasonable for the company.
9.8 AB Metals FZCO shall not be held responsible for any loss, damage, or destruction of the product(s) resulting from force majeure.
10. Selling to AB Metals FZCO
10.1. AB Metals FZCO website does not include a binding offer but is rather an invitation to deal with the customer.
10.2. Once the Customer submits an offer by clicking on the “Sell” button, he/she submits to a binding offer. Prior to this, the customer can easily view and change the offer at any time. Formally, the customer submits his offer at the moment he/she clicks on the said (Sell) button.
10.3. Sale is confirmed when AB Metals FZCO sends the order confirmation to the customer. The company reserves the right to refuse any order at its discretion without being required to give any reasons.
10.4. Once the order is confirmed, the customer’s AB Metals FZCO Pay account is credited with the amount of the order.
11. AB MetalsPay
11.1. AB Metals FZCO provides customers with the option to hold funds on their behalf in anticipation of future orders through an AB MetalsPay account. This account serves as a deposit and payment system exclusively for settling transactions with AB Metals FZCO..
11.2. AB Metals FZCO will only accept deposits to the customer's AB MetalsPay account that are made from a bank account registered under the customer's name. Any fees associated with the bank transfer will be the customer's responsibility. If a bank transfer is made from an account that does not match the customer's name, it will be reversed, and it may take more than twenty-five (25) business days for the funds to be returned to the customer. The customer is responsible for paying all fees and costs associated with AB Metals FZCO's efforts to refund payments made from accounts not registered under the customer's name.
11.3. The Customer can access his/her AB MetalsPay account anytime on the website.
11.4. The customer is not allowed to utilise their AB MetalsPay account as a savings account, and any misuse of it will result in the account being closed immediately. The customer acknowledges and accepts full responsibility and liability to AB Metals FZCO for any misuse of the account.
11.5. The AB MetalsPay account has a maximum limit of AED 20,000. If the amount on the account exceeds this limit, the customer must use or request a refund to their bank account within 30 days. If no action is taken by the customer within the specified time period, AB Metals FZCO will refund the excess amount, deducting an AED 150.00 refund fee, to the customer's bank account.
11.6.At any time, the customer can request to withdraw funds or have their deposit returned. AB Metals FZCO will transfer the amount owed to the customer's bank account within 3-5 business days, but this period is not a contractual commitment. The bank account must be in the customer's name, and any associated banking or transaction fees are the responsibility of the customer.
11.7. Deposits on the Customer’s AB MetalsPay account shall not produce interest for the customer.
11.8. All the deposits made on the AB Metals Pay account must be utilised or refunded within one (1) year from the date of deposit. If there is no communication between the customer and AB Metals between this time, the amount will be refunded to the bank account in the customer’s name, subject to a refund fee of UAE Dirham one hundred and fifty (AED 150.00), and all transaction fees will be charged to the customer.
11.9. If, due to any reason, the refund is not possible, AB Metals FZCO shall make significant attempts to reach the Customer and/or Person of Contact. For the same, AB Metals FZCO may charge administrative fees of AED 500.00.
11.10. If these attempts remain unsuccessful for 30 days following the above-mentioned one (1) year period, AB Metals FZCO is entitled to charge interest at a rate of 5 % per year with a minimum fee of UAE Dirham one hundred and fifty (AED 150.00) per year.
11.11. The customer is responsible to notify AB Metals FZCO of any change of name, address, e-mail address, and bank details. The customer will comply to hold AB Metals safe and harmless from any claims with respect to any transactions involving wrong Customer details in case the customer does not notify the company.
12 Market loss policy
12.1. When buying from AB Metals FZCO, the customer has to undertake a binding contract. Once AB Metals FZCO has issued an Order Confirmation number, the transaction price is locked-in, and if there is any corresponding market risk, it is transferred to the customer.
12.2. In case of default in payment of Products, completely or partially, AB Metals FZCO shall be entitled to retain or receive the positive difference in the product’s price between the day of ordering to the day of payment.
12.3. Order cancellation by AB Metals FZCO,( if not caused by AB Metals FZCO) is subject to AB Metals FZCO market loss policy (see articles 12.1 and 12.2) plus a cancellation fee of AED 150.00.
12.4. The Customer must also compensate AB Metals FZCO for all the fees and costs associated with AB Metals FZCO’s effort to collect any amount due by the customer.
12.5. The customer cannot place future orders or withdraw funds through AB MetalsPay until the market loss is fully paid. AB Metals FZCO has the right to deduct any unpaid market loss from the customer's AB Metals account. Any market gain resulting from order cancellations belongs to AB Metals FZCO. If the customer pays the AED 150.00 cancellation fee and market loss and receives written confirmation from AB Metals FZCO, AB Metals FZCO will waive any civil liability claims against the customer for any breach and any resulting damages.
13 Refund, Defects, and liability for damages
13.1. If there are any defects at the time of delivery against signature, the customer must notify Customer Service (email@example.com) within three (3) working days from the date that he/she receives the product (s). If the customer doesn't communicate the defect within 3 (three) working days, the product will be deemed to be accepted by the customer with any defects, apparent or not.
13.2. When purchasing multiple products, the defective nature of one of the products, its replacement, or the impossibility of shipping such product will not invalidate the entire purchase contract.
13.3. Upon filing a claim and AB Metals FZCO accepting the material defect, it has the option to either re-ship the item(s) at its own expense or refund the customer the full or partial amount of the product price at its discretion. Once this action has been taken, AB Metals FZCO will not be responsible for any further liability to the customer regarding the product and purchase agreement in question.
13.4. If the customer requests, AB Metals FZCO may provide an opportunity to exchange a product for an identical product in the case of a non-material defect, but it is not obligated to do so. The customer must receive written confirmation of the approved exchange request.
13.5. The customer bears exclusive responsibility for the risks associated with storing the returned products, transportation and shipping costs, taxes, and all risks associated with the return of products due to reasons attributable to the customer, such as unclaimed products, inaccurate or incomplete delivery addresses, and so on.
14. Anti-money laundering and fight against the financing of terrorism policy
14.1 The management of AB Metals FZCO makes it a priority to comply with high anti-money laundering standards and combat terrorism financing practices.
14.2. AB Metals FZCO applies the following regulations to prevent money laundering in the United Arab Emirates:
- The principal AML/CFT legislation within the State is Federal Decree-Law No. (20) of 2018 On Anti-Money Laundering and Combating the Financing of Terrorism and Financing of Illegal Organisations (the “AML-CFT Law” or “the Law”) and implementing regulation.
- Cabinet Decision No. (10) of 2019 Concerning the Implementing Regulation of DecreeLaw No. (20) of 2018 On Anti-Money Laundering and Combating the Financing of Terrorism and Illegal Organisations (the “AML-CFT Decision” or “the Cabinet Decision”).
14.3. For the above-listed purpose, the customer must provide and disclose personal information to AB Metals FZCO needed for identification purposes if the customer wants to create, continue, or carry out the business relationship or a specific transaction. As AB Metals FZCO’s contractual partner, the customer is subject to a legal obligation to cooperate with the company; when necessary, the customer must provide the company with all the necessary information and documentation for complete identification purposes. All changes regarding personal information must be notified to AB Metals FZCO as soon as possible.
14.4. AB Metals FZCO requires the customer to provide their personal information to confirm their email address. AB Metals FZCO always matches the customer’s standing between the given information and the credit card/bank payment details.
15. Return policy
After delivery, no return or exchange will be accepted unless explicitly accepted in writing by AB Metals FZCO. If AB Metals FZCO agrees to do so, such exchange must be made within seven (7) working days from the date of confirmation that the return is accepted. Post this date, any return not accepted by the company will be considered refused by AB Metals FZCO. The return must be made using the original packaging. The customer is solely responsible for the risk associated with loss during the return shipment and all the costs related to the return. Customers must contact AB Metals FZCO customer service (firstname.lastname@example.org, tel. +971 50 259 7330) for more details.
16.1. The customer must notify AB Metals FZCO of any change in personal information. The customer solely bears the complete responsibility for providing the right details and keeping their record with AB Metals FZCO updated. AB Metals guarantees to hold the information safe and harmless at all time.
16.2. Any notification or communication will be considered received upon delivery or transmission to the last physical or email address provided by the customer if sent by e-mail, registered post, or courier.
17. Entire agreement
17.1. These General T&C constitute the entire agreement between AB Metals FZCO and the Customer, superseding any proposals, letters exchanged before or after the conclusion of this agreement, and any other provisions related to the subject matter of these T&C appearing in the documents exchanged between the parties unless a duly signed amendment is made by both parties.
17.2. If there are any discrepancies between the English version of the General T&C and any translated version available on the website, the terms and conditions of the English version shall take precedence.
18.1. In the event that any provision of this agreement is deemed legally invalid, it will not make the entire contract null and void.
